Terms of Service

These Terms of Service govern the use of the YOAKE website and the travel-related services provided by AlvaJapan LLC (“YOAKE,” “we,” “us,” or “our”). By using this website or submitting an inquiry, quotation request, or booking request, you agree to these Terms of Service.

1. Scope of Services

YOAKE is a Japan-based DMC and land operator providing travel-related support for travel advisors, agencies, tour operators, and other business partners. Our services may include, but are not limited to, itinerary planning support, local sourcing, quotation preparation, operational coordination, and on-the-ground travel arrangements in Japan.

2. Quotes and Bookings

All quotations provided by YOAKE are subject to availability, confirmation by relevant suppliers and partners, and final approval at the time of booking. A quotation does not constitute a confirmed booking unless explicitly confirmed in writing by YOAKE. Prices, availability, and conditions may change prior to final confirmation.

3. Payments

Payment terms, payment currency, and payment methods will be specified separately in each quotation, invoice, or booking confirmation. Where applicable, YOAKE may provide an individual payment link or other payment instructions for the relevant service. Unless otherwise agreed in writing, all payments must be made in accordance with the terms stated in the applicable quotation, invoice, or confirmation document. Failure to make payment by the specified due date may result in cancellation of the requested services.

4. Changes and Cancellations

Any request for changes or cancellations must be submitted in writing. Change and cancellation terms will be specified separately in the relevant quotation, booking confirmation, invoice, or related service document. Depending on the nature of the service and the policies of the relevant hotels, transport providers, guides, venues, or other suppliers, changes or cancellations may be subject to fees.

5. Travel Documents and Client Responsibilities

Clients and business partners are responsible for ensuring that all travelers hold valid passports, visas, travel insurance, and any other documents or permissions required for travel. Clients are also responsible for providing accurate and complete information necessary for planning and operating the requested services. YOAKE shall not be responsible for any issues arising from incomplete, inaccurate, or late information provided by the client or partner.

6. Third-Party Suppliers

YOAKE works with regional DMCs, accommodation providers, transport operators, guides, restaurants, activity providers, and other third-party suppliers. While we carefully select and coordinate with these partners, certain services are ultimately provided by third parties and may be subject to their own terms, conditions, availability, and operational limitations.

7. Liability

YOAKE will make reasonable efforts to provide its services with due care and professionalism. However, YOAKE shall not be liable for any indirect, incidental, special, or consequential loss, including but not limited to loss of profit, loss of business opportunity, business interruption, or reputational damage, arising from the use of this website or our services. To the fullest extent permitted by applicable law, YOAKE’s total liability in connection with any service shall be limited to the amount actually paid to YOAKE for the relevant service. Nothing in these Terms of Service excludes or limits liability where such exclusion or limitation is not permitted under applicable law.

8. Insurance

YOAKE maintains professional liability insurance as part of its operational risk management. Any insurance coverage maintained by YOAKE does not create a separate or additional contractual obligation beyond the scope of liability set out in these Terms of Service, unless otherwise expressly agreed in writing.

9. Force Majeure

YOAKE shall not be liable for any delay, disruption, change, or failure to perform resulting from events beyond our reasonable control, including but not limited to natural disasters, severe weather, pandemics, government actions, strikes, transport disruption, accidents, or other force majeure events.

10. Intellectual Property

All content on this website, including but not limited to text, images, branding, logos, and design elements, is owned by or licensed to YOAKE unless otherwise stated. No part of this website may be copied, reproduced, distributed, or used for commercial purposes without prior written consent.

11. Privacy

The handling of personal information is governed by our Privacy Policy. By using this website or submitting information to us, you acknowledge and agree to the handling of such information in accordance with our Privacy Policy.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms of Service or our services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, unless otherwise required by applicable law.
